The Board of Directors of Amrit Corp. Ltd. (“the Company”) at its meeting held on 21st May, 2013 approved the proposal to delist the equity shares of the Company from UP Stock Exchange Ltd., Kanpur (“UPSE”) pursuant to the Securities and Exchange Board of India (Delisting of Equity Shares) Regulations, 2009 (“Delisting Regulations”) and continue with the listing at BSE Ltd., having nationwide trading terminals. Accordingly, the application was made by the Company to UPSE for voluntary delisting of its equity shares.

UPSE vide Notice No. UPSE/2013-14/LD/Delisting/47 dated August 16, 2013 notified the trading members of the exchange and other concerned that the equity shares of the Company shall be delisted from the Exchange w.e.f. 21st August, 2013. Copy of the aforesaid Notice is attached herewith.

All concerned may note that the Company’s equity shares continue to be listed on BSE Ltd. under scrip No.507525 (having nationwide trading terminals).

Any waivers (including any implicit waivers) of the provisions in this Code for executive officers or directors or Company Secretary may only be granted by the Board of Directors. Any waivers of this Code for other employees may only be granted by the Company Secretary. Amendments to this Code must be approved by the Board of Directors.
